General Terms and Conditions of Business

In the following agreement, Sonodyne Technologies Pvt. Ltd (98 NB Block E, New Alipore, Kolkata 700 053), will be referred to as “The Company” and the Channel Partner will be referred as “The Buyer”.
ORDER PLACEMENT: The Company will accept only written order by email or fax, on The Buyer’s authorized documentation. Orders on telephone and sms/WhatsApp will not be acknowledged. Every PO must have a discrete PO number.
PRICES: The Company shall accept orders as per the most recent price lists as published and in force.
DISPATCH: The Company will dispatch materials on freight to pay basis, ex The Company’s warehouse. The Company will undertake the insurance of the goods in transit. Any demurrage accrued as a result of delay in clearance of goods from the transporter’s warehouse will be the liability of the Buyer.
RETURNS: Goods once dispatched by The Company shall not be taken back unless there is a zero hour manufacturing defect that cannot be rectified. Once the Company has agreed to take back any product, the Company will send an official ‘Returns Note’ against which the goods may be returned.
SERVICING: The Company shall provide the required spares for service during warranty and non-warranty period. Where available, the Company shall also provide service and training support from its offices.
TECHNICAL: The Buyer’s purchase order reflects a complete understanding of the products’ technical usage. The Company shall not be liable for any malfunction / defect / damage resulting due to improper installation / system design.
STATUTORY: The Buyer is completely responsible for all statutory obligations towards the Govt, the environment and to its employees. All generally accepted terms of common business will be in effect.
LEGALITIES: Regarding any disputes whatsoever, will be covered only in the jurisdiction of Kolkata High Court.

By signing this document I certify that the information provided is true. I authorise Sonodyne Technologies Pvt. Ltd. I agree that all transactions will be subject to Sonodyne Technologies Pvt. Ltd. Terms & Conditions of Business as given above.
